BY ENGAGING 10CORP FOR PROFESSIONAL WEB SERVICES, YOU AGREE TO BE BOUND BY THIS AGREEMENT IN FULL.
This Professional Web Services Agreement ("Agreement") governs the design, development, and related professional services provided by 10Corp Web Services LLC ("10Corp," "we," "us") to you ("Client"). It supplements our Universal Terms of Service and any separately executed Statement of Work ("SOW") or project proposal.
1. Services
Professional web services include website design, custom development, e-commerce development, WordPress development, SEO implementation, graphic design, and other digital services as specified in an approved project proposal or SOW. The scope, timeline, and deliverables for each engagement are defined in the applicable SOW.
2. Project Process
A. Kickoff and Discovery
All projects begin with a discovery phase during which 10Corp collects requirements, brand assets, and access credentials. Client agrees to provide all necessary materials within five (5) business days of project kickoff.
B. Design Review and Approvals
10Corp will present design concepts for Client review. Client has five (5) business days to provide written feedback. Projects include up to two (2) rounds of revisions unless otherwise specified in the SOW. Additional revisions are billable at our standard hourly rate.
C. Development and Testing
Following design approval, 10Corp will develop the agreed deliverables and conduct internal quality assurance testing across standard browsers and devices. Client will have a dedicated staging environment for review prior to launch.
3. Client Responsibilities
Client is responsible for: providing accurate and timely content, images, and materials; designating a single point of contact for approvals; responding to review requests within the agreed timeframe; and providing necessary account access (hosting, domain, third-party platforms). Project delays caused by Client's failure to fulfill these responsibilities may result in revised timelines and additional charges.
4. Fees and Payment Schedule
Project fees are as specified in the approved SOW. Unless otherwise stated, payment terms are: 50% deposit upon project commencement, 25% upon design approval, and 25% upon project completion prior to launch. Invoices are due within seven (7) days of issuance. Unpaid invoices accrue interest at 1.5% per month. 10Corp reserves the right to withhold delivery of final files until payment is received in full.
5. Intellectual Property
A. Work Product
Upon receipt of full payment, 10Corp assigns to Client all right, title, and interest in custom design and code created solely for the Client under this Agreement. Client grants 10Corp the right to display completed work in our portfolio unless Client requests otherwise in writing.
B. Third-Party Components
Projects may incorporate open-source software, stock imagery, fonts, or licensed plugins. Such components remain subject to their respective licenses. 10Corp will disclose all third-party components used in a project upon Client request.
6. Hosting and Maintenance
Professional web services do not include ongoing hosting or maintenance unless specified in a separate hosting or support agreement. Post-launch support requests are billed at our standard hourly rate unless a retainer or maintenance plan is in place.
7. Warranties and Representations
10Corp warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Client warrants that all materials provided to 10Corp are either owned by Client or properly licensed, and do not infringe any third-party rights.
8. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the engagement and not to disclose such information to third parties without prior written consent, except as required by law.
9. Limitation of Liability
10CORP'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM PROFESSIONAL WEB SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
10. Termination
Either party may terminate a project engagement with fourteen (14) days' written notice. Upon termination, Client shall pay for all work completed to date. 10Corp shall deliver all completed work product upon receipt of final payment.
