Domain Name Registration Agreement

PLEASE READ THIS AGREEMENT CAREFULLY. BY REGISTERING A DOMAIN NAME THROUGH 10CORP, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS SET FORTH HEREIN.
This Domain Name Registration Agreement ("Agreement") is a legally binding contract between you ("Registrant," "you," or "your") and 10Corp Web Services LLC ("10Corp," "we," "us," or "our"). This Agreement governs the registration and maintenance of domain names through 10Corp's platform at 10corp.com and through its affiliated brand 10Corp. By completing a domain registration, you agree to this Agreement, our Universal Terms of Service, Privacy Policy, and all applicable ICANN policies and registry requirements for the TLD you are registering.
NOTE: Domain name registration does not confer trademark or intellectual property rights in the registered name. Registration is subject to availability on a first-come, first-served basis.
1. Eligibility and Account Requirements
To register a domain name through 10Corp, you must:
- Be at least 18 years of age, or have the express consent of a parent or legal guardian;
- Maintain a valid 10Corp account with accurate, current, and complete contact information;
- Agree to and comply with all applicable ICANN policies, including the Uniform Domain Name Dispute Resolution Policy (UDRP);
- Provide accurate WHOIS registration data as required by ICANN and applicable registries at the time of registration and promptly update such information when it changes.
2. WHOIS Accuracy and ICANN Verification
A. Accuracy Requirements
ICANN requires all registrants to provide accurate and current contact information, including full legal name or organization name, mailing address, email address, and phone number. You agree to update this information within seven (7) days of any change. Providing false or inaccurate WHOIS data may result in suspension or cancellation of your domain registration.
B. WHOIS Privacy
10Corp offers WHOIS privacy protection ("Domain Privacy") that substitutes proxy contact details in the public WHOIS database in place of your personal information. This service is governed by the Domain Name WHOIS Privacy Agreement. Use of Domain Privacy does not relieve you of your obligation to maintain accurate registrant information in your 10Corp account.
C. Email Verification
Pursuant to ICANN's 2013 Registrar Accreditation Agreement, 10Corp is required to verify the email address you provide at registration. Failure to verify your email within fifteen (15) days of a verification request may result in suspension of the domain. 10Corp shall not be liable for any loss resulting from domain suspension due to your failure to complete email verification.
3. Registration Term and Renewal
A. Registration Period
Domain names are registered for a minimum of one (1) year and a maximum of ten (10) years, depending on the TLD registry's rules. The exact term will be displayed at the time of registration checkout.
B. Renewal Responsibility
It is your sole responsibility to renew your domain registration prior to its expiration date. 10Corp may send renewal reminder notices as a courtesy, but we are not obligated to do so, and failure to receive a reminder does not relieve you of the obligation to renew. Failure to renew before expiration may result in loss of the domain and potential acquisition by a third party.
C. Auto-Renewal
Domain names registered through 10Corp are enrolled in automatic renewal by default. You may disable auto-renewal at any time through your account settings. If auto-renewal is disabled and you fail to manually renew before expiration, your domain may enter a grace period or be deleted from the registry.
D. Expired Domain Grace and Redemption Periods
Following expiration, most domains enter a grace period of up to thirty (30) days during which standard renewal fees apply. After the grace period, a domain may enter a redemption period of up to thirty (30) additional days, during which restoration is possible but subject to significantly higher redemption fees. After the redemption period, the domain may be released for public re-registration. 10Corp is not liable for any loss resulting from your failure to renew a domain in a timely manner.
4. Fees and Payment
Registration, renewal, and restoration fees vary by TLD and are displayed at the time of the applicable transaction. All fees are charged in U.S. Dollars and are non-refundable once the registration has been confirmed by the registry, except as expressly provided in our Refund Policy. Renewal fees are subject to change; you will be notified of any fee changes at least thirty (30) days before your next renewal date.
5. Prohibited Uses
You agree not to register or use any domain name for any purpose that:
- Violates any applicable local, national, or international law or regulation;
- Infringes the trademark, copyright, or other intellectual property rights of any third party;
- Constitutes cybersquatting, typosquatting, or any abusive registration practice prohibited under ICANN policies;
- Is used to distribute malware, spam, phishing content, or other malicious materials;
- Facilitates fraud, identity theft, or any deceptive practice;
- Violates any applicable registry policies for the TLD in question.
6. Registrant Rights and Responsibilities
As the registrant of a domain name, you have the right to use the domain for any lawful purpose, transfer the domain subject to applicable policies, and receive timely notice of material changes to registration terms or fees. You are fully responsible for all use of the domain name, whether by you or by any third party you authorize, and for compliance with all applicable registry and ICANN requirements.
7. Domain Disputes
Any dispute regarding the right to use a registered domain name shall be resolved pursuant to the applicable dispute resolution policy. For gTLDs, this is the ICANN UDRP. For ccTLDs, the applicable registry dispute policy applies. 10Corp will comply with any final decision issued by an ICANN-approved dispute resolution provider, including suspending, canceling, or transferring a domain as directed.
8. Suspension and Cancellation
10Corp reserves the right to suspend, cancel, or transfer any domain registration under the following circumstances:
- Receipt of a valid court order, arbitration award, or legally binding directive;
- Correction of a mistake made by 10Corp or the registry in the registration process;
- Non-payment of registration, renewal, or restoration fees;
- Violation of this Agreement, our Universal Terms of Service, or applicable ICANN or registry policies;
- Determination that the registration was made with false, fraudulent, or inaccurate information;
- Compliance with applicable law or a lawful government request.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 10CORP'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO DOMAIN NAME REGISTRATION SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO 10CORP FOR THE RELEVANT DOMAIN REGISTRATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL 10CORP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY.
10. Indemnification
You agree to indemnify, defend, and hold harmless 10Corp Web Services LLC and its affiliates, officers, directors, employees, agents, and licensors from any claim, liability, loss, expense, or damage (including attorneys' fees) arising out of your registration or use of any domain name, your breach of this Agreement, or your violation of any applicable law or regulation or the rights of any third party.
11. .US Domain Specific Provisions
Registrants of .US domain names must satisfy the Nexus Requirements established by the .US Registry (NeuStar). You certify that you are either: (i) a natural person who is a U.S. citizen, permanent resident, or whose primary domicile is in the United States; (ii) a U.S. entity or organization incorporated or organized under U.S. law; or (iii) a foreign entity with a bona fide presence in the United States. Name servers for .US domains must be physically located within the United States or its possessions.
12. Amendments
10Corp may amend this Agreement at any time. We will provide at least thirty (30) days' notice of any material changes via email to your registered account address or via a notice on our website. Continued use of our domain registration services after the effective date of any amendment constitutes your acceptance of the amended terms.
