PLEASE READ THIS AGREEMENT CAREFULLY. BY PURCHASING GOOGLE WORKSPACE SERVICES THROUGH 10CORP, YOU AGREE TO BE BOUND BY ALL TERMS SET FORTH HEREIN AND BY GOOGLE'S TERMS OF SERVICE.
This Google Workspace/G Suite Service Agreement ("Agreement") governs your purchase and use of Google Workspace (formerly G Suite) services resold by 10Corp Web Services LLC ("10Corp," "we," "us," or "our") through its 10Corp platform. 10Corp provides Google Workspace subscriptions as an authorized reseller. By subscribing to these services, you agree to this Agreement, our Universal Terms of Service, our Privacy Policy, and Google's applicable end-user terms.
IMPORTANT: Google Workspace services are governed by Google LLC's Google Workspace Agreement and Google Privacy Policy. By activating a Google Workspace subscription, you agree to Google's terms directly. 10Corp's role is limited to reselling, provisioning, billing, and supporting your subscription.
1. Scope of Services
Through this Agreement, 10Corp provides the following in connection with Google Workspace:
- Google Workspace subscription provisioning and license management;
- Domain verification and DNS configuration assistance;
- Email migration support (from cPanel, IMAP, or other platforms);
- Account setup, user onboarding, and initial configuration;
- Billing management for your Google Workspace subscription;
- First-line technical support for Workspace-related issues;
- Escalation to Google support for issues outside 10Corp's scope.
2. Google Workspace Plans
10Corp offers the following Google Workspace plans, subject to current pricing displayed on our website:
- Business Starter: 30 GB pooled storage per user, supports up to 100-participant Google Meet;
- Business Standard: 2 TB pooled storage per user, recording, noise cancellation, up to 150-participant Meet;
- Business Plus: 5 TB pooled storage per user, eDiscovery, audit, Vault, up to 500-participant Meet;
- Enterprise: Unlimited storage, advanced security, compliance tools '€” custom pricing.
Plan features are subject to change by Google at any time. 10Corp will notify you of material changes to plan features with reasonable advance notice.
3. Your Responsibilities as Administrator
As the administrator of your Google Workspace account, you are responsible for:
- Managing all user accounts, permissions, and data within your Workspace organization;
- Ensuring all users in your organization comply with Google's Acceptable Use Policy and all applicable laws;
- Maintaining the security of administrator credentials and enabling two-factor authentication;
- Keeping your domain's DNS records accurate and up to date;
- Backing up any data you wish to retain before canceling your subscription, as Google may delete data following account termination;
- Complying with all applicable data protection laws, including GDPR, with respect to your users' personal data processed through Google Workspace.
4. Acceptable Use
You agree that your use of Google Workspace will comply with Google's Acceptable Use Policy. You may not use Google Workspace to send spam, distribute malware, conduct phishing campaigns, infringe intellectual property, or engage in any activity prohibited by Google's terms or applicable law. Violations may result in suspension of your Google Workspace account by Google and/or termination of this Agreement by 10Corp.
5. Fees, Billing, and Renewal
Google Workspace subscriptions are billed monthly or annually as selected at purchase. Prices are displayed in U.S. Dollars. Annual subscriptions are billed upfront for the full year. Monthly subscriptions are billed at the beginning of each monthly cycle. Subscriptions renew automatically unless canceled. You must cancel at least three (3) days before your next renewal date to avoid being charged for the next period. All fees paid to 10Corp for Google Workspace subscriptions are subject to our Refund Policy. Note that Google may separately charge you for usage overages (e.g., storage beyond your plan limit) billed directly through your Google account.
6. Support
10Corp provides first-line technical support for Google Workspace issues via email and phone during business hours (Mon'€“Fri, 9AM'€“6PM EST). For issues that require Google's direct involvement (e.g., account recovery, billing disputes with Google, product bugs), 10Corp will escalate on your behalf to Google support. Google Business Starter includes standard Google support; Business Standard and higher include enhanced support from Google directly.
7. Data and Privacy
Data stored in your Google Workspace account (Gmail, Drive, Docs, etc.) is governed by Google's Privacy Policy and Data Processing Amendment. 10Corp does not have access to the content of your Google Workspace data. 10Corp processes only your account billing and contact information, governed by our Privacy Policy. You are the data controller for all personal data of your users stored in Google Workspace.
8. Service Suspension and Termination
Either party may terminate this Agreement with thirty (30) days' written notice. 10Corp may suspend or terminate your Google Workspace subscription immediately for: non-payment of fees; violation of Google's or 10Corp's terms; actions that jeopardize the security of the platform; or receipt of a valid legal order. Google may independently suspend or terminate your Workspace account for violations of Google's policies, which is outside 10Corp's control.
9. Limitation of Liability
10CORP'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID TO 10CORP FOR GOOGLE WORKSPACE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM. 10CORP IS NOT LIABLE FOR ANY ACTIONS, POLICIES, OR SERVICE INTERRUPTIONS BY GOOGLE LLC. GOOGLE'S LIABILITY TO YOU IS GOVERNED SOLELY BY GOOGLE'S OWN TERMS OF SERVICE.
10. Indemnification
You agree to indemnify and hold harmless 10Corp and its affiliates from any claim, liability, or expense arising from your use of Google Workspace, your violation of Google's or 10Corp's terms, or your users' activities within your Workspace organization.
11. Governing Law
This Agreement is governed by the laws of the State of Georgia, United States. Disputes shall be resolved by binding arbitration in Georgia, or in any court of competent jurisdiction for injunctive relief.
